THIRD AMENDMENT TO

DECLARATION OF COVENANTS AND RESTRICTIONS

OF THE WOODLAKE COMMUNITY ASSOCIATION,

A VIRGINIA CORPORATION

     THIS THIRD AMENDMENT, made this 1st day of September, 1995, by the Woodlake Community Association, Inc., a Virginia non-profit non-stock corporation, hereinafter called "Association".

     On September 19, 1983, the Association and the Investors Woodlake Development Corporation, a Virginia corporation, hereinafter called "Company" filed for record a Declaration of Covenants and Restrictions of the Woodlake Community Association and Investors Woodlake Development Corporation, a Virginia Corporation, which is recorded in the Clerk's Office of the Circuit Court of Chesterfield County, Virginia, in Deed Book 1625 at page 1122 (the "Declaration"). The Declaration was amended by a First Amendment recorded in the aforesaid clerk's Office in Deed Book 1799, page 1167, and a Second Amendment recorded in the aforesaid Clerk's Office in Deed Book 1799, page 1172.

     By Assignment and Wavier Agreement dated October 25, 1993 recorded in the aforesaid Clerk's Office immediately prior to the recordation of this Amendment, WLAC, Incorporated, successor to Investors Woodlake Development Corporation, assigned all its rights under the Declaration to Woodlake Community Association, Inc.

     Due to the desire of the Association to make certain amendments to the Declaration as provided for in Article VIII, Section 2 of the Declaration, this Amendment was presented to a duly called meeting of the Association held on April 25, 1995 at Woolridge Elementary School in Chesterfield County, Virginia, pursuant to notice to all members on March 27, 1995 and in accordance with the pertinent provisions of the Virginia non-stock corporation act and the Declaration, as amended. A quorum of sixty percent (60%) not being present for such meeting, a subsequent meeting of the Association was called pursuant to Section 6 of Article III of the Declaration at which this Amendment was presented. This duly called meeting of the Association was held on July 25, 1995 at the Woodlake Community Association Building, Chesterfield County, Virginia, pursuant to notice given on June 23, 1995 to all members and in accordance with the pertinent provisions of the Virginia Non-Stock Corporation Act and the Declaration, as amended. As of the date of the meeting, the total number of votes of Members of the Association was 5,434; the total number of votes required to constitute a quorum was 1,631; a quorum comprised of 2,585 was present in person or by proxy at the meeting; the number of votes cast in person or by proxy for the Amendment contained herein, the number of votes necessary to adopt each such proposed amendment, and the number of votes for or against each such proposed amendment were as follows:

     NOW, THEREFORE, the Association does hereby amend the Declaration as follows so that from the effective date hereof the real property described in Article II of the Declaration, as amended, shall be held, transferred, sold, conveyed, given, donated, leased, occupied and used subject to the restrictions, conditions, easements, charges, assessments, affirmative obligations, and liens hereinafter set forth:

     1. Paragraph (k) of Section 3 of Article V of the declaration is amended to read as follows:

(k) The Board of Directors may authorize and regulate collection of assessments by whatever methods it deems to be in the best interest of the Association, including but not limited to use of a Billing Agent; authorized use of the Members' personal credit cards; direct billing by the Association; and by use of published financial incentives and charges to Members established by the Board, which incentives and charges may vary according to the method of collection which a Member uses.

     2. Defined Terms. Capitalized terms defined in the Declaration, as amended, shall have the same meanings when used in this Amendment.

     3. Construction. This Amendment is intended to supplement the Declaration, as amended. It is not intended, and shall not be construed, to supersede or contradict any provision of the Declaration, as amended, except as expressly set forth herein.

     4. Effective Date. This Amendment shall become effective September 24, 1995, sixty (60) days after the date of the meeting of the Association at which it was adopted.

     IN WITNESS WHEREOF, the Association has caused this instrument to be executed and its seal attached by its duly authorized officers.
